Terms of Use

Please read these Terms carefully. Section 16 requires most disputes to be resolved by individual arbitration and waives your right to a jury trial and to take part in a class action.
1. Agreeing to these terms
These Terms of Use (the "Terms") are an agreement between you and the Institute for Founder Dynamics ("IFD," "we," "us") and govern your use of the Cofounder Diagnostic and its website, reports, and related services (together, the "Diagnostic"). By ticking the box at signup, you agree to these Terms. Our Privacy Policy and Consumer Health Data Notice explain how we handle your information. If you do not agree, do not use the Diagnostic.
2. The Diagnostic
The Diagnostic is an assessment that two cofounders complete separately, followed by one joint report for both of them. The joint report shows where each of you stands on each area of your partnership. It does not show either of you how the other answered individual questions. Your report depends on both cofounders completing the Diagnostic, and we are not responsible if your cofounder does not.
The Diagnostic is under active research and development. We may change, add, or remove features, questions, scoring, and report content at any time, and we may pause or stop offering all or part of it.
3. Not professional advice
The Diagnostic is a research-based tool for reflection and conversation. It is not psychological, medical, legal, financial, investment, or other professional advice. It is not therapy or counseling, and it does not diagnose anyone. Using it does not create a clinical, therapeutic, or other professional relationship with IFD or anyone on our team, even though some team members hold professional licenses. Any coaching connected to the Diagnostic is for reflection and is not therapy.
Your report reflects the answers you and your cofounder gave at one point in time. It may be incomplete or inaccurate, and it is not a prediction or guarantee of any outcome. Do not rely on it as the sole basis for any decision. Decisions about your partnership, your company, and your equity are yours alone.
If your partnership raises concerns about anyone's safety or wellbeing, please seek help from a qualified professional or, in an emergency, from emergency services.
4. Your account
- You must be 18 or older and able to form a binding contract.
- Give accurate information and keep it current.
- Keep your sign-in details, and access to the email account you use with us, secure. You are responsible for activity on your account. Tell us promptly if you think your account has been misused.
- Each account is for one person and may not be shared.
- We may refuse or close an account at our discretion, subject to section 12.
5. Inviting your cofounder
Invite only your actual cofounder, and only if you have a reasonable basis to share their email address with us. When you invite someone, you ask us to send them an invitation email on your behalf. Your cofounder must create their own account and agree to these Terms. Share invitation links only with the person you mean to invite.
6. Coaches
If you join the Diagnostic through a coach's invitation, that coach can see your individual answers, scores, and joint report, as described in our Privacy Policy and only with your agreement at signup. Some coaches work with IFD as contractors. Others are independent. An independent coach is not our employee or agent, and we are not responsible for their advice, services, or how they use your information. Your relationship with an independent coach is between you and that coach.
7. Fees and payment
Prices are shown in US dollars before you pay. Our payment provider processes payments under its own terms. One payment covers your partnership as described at the time of purchase. We may change prices for future purchases. Discounts and promotional codes are offered at our discretion, may be changed or ended at any time, and have no cash value. You are responsible for any applicable taxes. If you dispute a charge with your bank without first contacting us, we may suspend access while the dispute is open.
8. Refunds
Fees are non-refundable, except as stated in an offer at the time of purchase, as stated in section 12, or as required by law. Any refund or credit we offer, for example for attending a feedback conversation, follows the terms described when you purchased and will never be more than the amount you actually paid. We may change or end any such offer for future purchases. Refunds go to the original payment method.
9. Using the Diagnostic responsibly
You agree not to:
- use the Diagnostic or a report to evaluate, hire, fund, remove, or make any decision about another person, or require anyone to take it as a condition of investment, employment, admission, or any other benefit;
- pressure your cofounder to share their answers or their account;
- misuse the Diagnostic, interfere with it, introduce harmful code, or access it by automated means or in ways we have not allowed;
- copy, scrape, reverse engineer, or resell the Diagnostic, its questions, scoring, or reports, or use them to build or improve a competing product;
- impersonate anyone, or invite someone without a reasonable basis to do so;
- use the Diagnostic to harass or harm anyone, or in violation of any law.
10. Your answers and our data
Your answers are yours. So that we can run the Diagnostic and do our work, you grant us a worldwide, royalty-free, non-exclusive license to host, store, copy, process, analyze, and use your answers and related information to provide and improve the Diagnostic and for research, as described in our Privacy Policy. We may extend this license to our service providers, contractors, and research collaborators only as our Privacy Policy allows. This license continues until your account is deleted.
For de-identified and aggregated data, the license is perpetual and irrevocable and includes research, publication, teaching, benchmarks, norms, and the other purposes in our Privacy Policy. IFD owns de-identified and aggregated data, and the scores, norms, models, and findings we derive from any data.
You confirm that you have the right to share what you provide. If you send us feedback or ideas, we may use them freely, without any obligation to you.
11. Our content
The Diagnostic, including its framework, questions, scoring, reports, names, logos, design, and materials, belongs to IFD or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-transferable license to use the Diagnostic and your joint report for your own partnership. You may share your report privately with your cofounder and your advisers. Do not publish it or use it commercially. All rights not expressly granted are reserved.
12. Ending your use
You can stop using the Diagnostic at any time and ask us to delete your account as described in our Privacy Policy. We may suspend or end your access at any time if you break these Terms, if we need to protect the Diagnostic, other users, or IFD, or if we stop offering the Diagnostic. If we end your access for a reason other than your breach of these Terms before your joint report is available, we will refund the amount you paid. Sections that by their nature should continue, including sections 3 and 9 to 18, continue after your use ends.
13. Disclaimers
To the fullest extent the law allows, the Diagnostic is provided "as is" and "as available," and we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the Diagnostic will be uninterrupted, secure, or error free, or that it will produce any particular result. Some laws do not allow these disclaimers, so some may not apply to you.
14. Limits on our liability
In this section and section 15, the "IFD Parties" are IFD and its directors, officers, employees, volunteers, contractors, and affiliates.
To the fullest extent the law allows, the IFD Parties will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, business outcomes, or decisions about your partnership, company, or equity, arising from or related to the Diagnostic, even if advised of the possibility.
To the fullest extent the law allows, the IFD Parties' total liability for all claims related to the Diagnostic is limited to the greater of the amount you paid us for it or US$100.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for gross negligence or willful misconduct. Some laws do not allow these limits, so some may not apply to you.
15. Your responsibility to us
You agree to indemnify, defend, and hold harmless the IFD Parties from claims, losses, and costs, including reasonable attorneys' fees, arising from your misuse of the Diagnostic, your breach of these Terms, or invitations you send.
16. Resolving disputes
Informal resolution first. Before starting arbitration, you and IFD each agree to send the other a written description of the dispute (ours to the email on your account, yours to info@founderdynamics.org) and to try in good faith to resolve it informally. If the dispute is not resolved within a reasonable time, either party may start arbitration.
Arbitration. If we cannot resolve it, any dispute arising from or relating to these Terms or the Diagnostic will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration will be seated in New York, New York, and hearings may take place by video or, if the rules require, where you live. Fees are paid as the AAA Consumer Arbitration Rules provide. The arbitrator decides all questions about whether a dispute must be arbitrated, except questions about the class action waiver below, which a court decides.
Class action and jury waiver. You and IFD each may bring claims only individually, not as a plaintiff or class member in any class, collective, or representative proceeding, and each waives the right to a jury trial. If this class waiver is found unenforceable for a claim, that claim will go to court, not arbitration.
Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court for relief to protect intellectual property or stop misuse of the Diagnostic.
Courts and law. Any matter that goes to court will be heard in the state or federal courts in New York County, New York, and you and IFD consent to their jurisdiction. These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules, except that the Federal Arbitration Act governs this section.
17. Changes to these Terms
We may update these Terms. We will post the new version here with its effective date and, if a change is significant, tell you by email or in the product. For significant changes, we will ask you to accept the new Terms before you continue using the Diagnostic. Other changes take effect when posted. Changes to section 16 will not apply to any dispute that arose before the change.
18. General
These Terms, together with any offer terms shown at purchase, are the entire agreement between you and IFD about the Diagnostic. If any part is found unenforceable, it will be enforced to the extent possible and the rest still applies. Our not enforcing a provision is not a waiver of it. We may assign these Terms, including to an affiliated or successor organization. You may not assign them without our written permission. Nothing in these Terms creates a partnership, agency, or employment relationship or gives rights to any third party. We are not responsible for delays or failures caused by events outside our reasonable control, or for third-party services such as payment processing. You agree that we may provide agreements, notices, and other communications electronically, by email or in the product. Section headings are for convenience only.
